Terms of Service

For self-serve and Professional users | Effective Date: 5 June 2026 | Last Updated: 5 June 2026

These Terms of Service (these “Terms”) are entered into between you (“you,” “your,” or “Customer”) and Skrib, Inc. (“Skrib,” “we,” “us,” or “our”), and govern access to and use of skrib.com, any subdomain of skrib.com, and the Skrib offerings provided under free and Professional plans (collectively, the “Services”). If you have an Organization or Enterprise plan, the Skrib Software Services Agreement at https://skrib.com/legal/ssa applies instead of these Terms.

By indicating your acceptance of these Terms, by signing up for an account, or by using the Services, you agree to be bound by these Terms. If you are accessing or using the Services on behalf of an entity (such as your employer), you agree to these Terms on behalf of yourself and that entity, you represent that you are authorised to accept these Terms on behalf of that entity, and references to “you” and “Customer” include that entity.

ARBITRATION NOTICE

UNLESS YOU OPT OUT OF ARBITRATION WITHIN THIRTY (30) DAYS OF THE DATE YOU FIRST AGREE TO THESE TERMS BY FOLLOWING THE OPT-OUT PROCEDURE IN SECTION 9.11, THESE TERMS REQUIRE YOU TO RESOLVE DISPUTES WITH SKRIB IN BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND TO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL. SECTION 9.11 EXPLAINS THIS IN DETAIL.

1. Skrib’s obligations

1.1 Access to the Services.

Subject to these Terms, Skrib grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your personal or internal business purposes. Free accounts may be used for personal or business purposes; paid accounts may be used only as set out in your Order or in the relevant Product-Specific Terms.

1.2 Data protection.

Skrib implements and maintains technical and organisational security measures designed to protect Customer Content from unauthorised access, use, or disclosure. The Privacy Policy at https://skrib.com/legal/privacy describes how Skrib processes personal data; the Data Processing Addendum at https://skrib.com/legal/dpa governs Skrib’s processing of personal data on Customer’s behalf and is incorporated into these Terms where applicable.

1.3 Non-Skrib resources.

Applications, integrations, content, or services that are developed or provided by a party other than Skrib (collectively, “Non-Skrib Resources”) are not part of the Services and are subject to their own terms.

2. Service terms

2.1 Eligibility.

You may use the Services only if you are of legal age to enter into these Terms in your jurisdiction. AI Features may be used only by individuals aged 18 or older. The Services are not directed to children under the age of 13 (or any higher minimum age set by Applicable Law in your jurisdiction).

2.2 Use restrictions.

Except as expressly authorised, you will not, and will not encourage or assist any third party to: (i) reverse engineer, decompile, disassemble, or attempt to derive source code or algorithms from the Services (except where such restriction is impermissible under Applicable Law); (ii) provide, sell, resell, transfer, sublicense, lend, distribute, rent, or otherwise allow others to access or use the Services; (iii) copy, modify, create derivative works of, or remove proprietary notices from the Services; or (iv) use the Services in jurisdictions that are subject to comprehensive sanctions or whose laws do not permit Skrib to provide the Services.

2.3 Acceptable Use Policy.

You will comply with the Acceptable Use Policy at https://skrib.com/legal/aup, which is incorporated into these Terms.

2.4 Account management.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify Skrib promptly of any unauthorised access. Account credentials are personal and may not be shared. Skrib supports two-factor authentication, which materially reduces the risk of unauthorised access; Skrib is not responsible for damages, losses, or liability arising from incidents that two-factor authentication would have prevented.

2.5 Customer Content.

As between you and Skrib, you retain all rights in Customer Content. You authorise Skrib and its service providers to use Customer Content to provide, maintain, secure, debug, and otherwise perform the Services. The AI Terms at https://skrib.com/legal/ai-terms describe AI-related settings that apply to Customer Content and how to control them.

2.6 Feedback.

If you provide feedback, comments, or suggestions concerning the Services (“Feedback”), you grant Skrib a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit that Feedback for any lawful business purpose, without compensation or attribution.

2.7 Usage Data.

Skrib collects and analyses data and other information relating to access, use, and performance of the Services (“Usage Data”) and may use Usage Data in de-identified and aggregated form to maintain, improve, and enhance Skrib’s products and services. Usage Data excludes Customer Content itself.

2.8 Reservation of rights.

Skrib owns all right, title, and interest in the Services. You retain all right, title, and interest in Customer Content. All rights not expressly granted are reserved.

3. Billing

3.1 Plans and pricing. Skrib offers free and paid subscription plans. Current plans, features, and prices are listed at https://skrib.com/pricing.

3.2 Authorisation to charge. By starting a paid subscription, you authorise Skrib, acting through its payment processor Stripe, to charge your selected payment method for the subscription fees stated at checkout, plus any applicable taxes calculated by Stripe Tax, on the cadence stated in your plan (monthly or annual).

3.3 Automatic renewal. Paid subscriptions renew automatically at the end of each billing cycle (monthly for monthly plans; annually for annual plans) at the then-current price for your plan, until you cancel. For annual plans, Skrib will send a renewal reminder email at least seven (7) days before each renewal.

3.4 Taxes. Prices shown at https://skrib.com/pricing are exclusive of applicable taxes (including VAT, GST, and US state sales tax). Stripe Tax calculates and adds the correct tax at checkout based on your billing location. Tax amounts are shown to you before you confirm the purchase.

3.5 Cancellation. You can cancel any paid subscription at any time from Account → Subscription → Cancel. Cancellation takes effect at the end of the then-current billing cycle; you retain access until the end of that cycle, and your account then reverts to the free tier. No further charges are made after cancellation takes effect.

3.6 Refunds. Refund eligibility is set out in the Refund and Cancellation Policy at https://skrib.com/legal/refunds. Skrib offers a thirty (30)-day no-questions-asked refund window from the date of any new subscription or renewal charge, in addition to any non-waivable statutory rights you may have as a consumer.

3.7 Failed payments. If a scheduled payment fails, Skrib (via Stripe) will retry the charge automatically. If the charge remains unpaid for fourteen (14) days after the original billing date, Skrib may downgrade your account to the free tier or suspend access to paid features until payment is resolved.

3.8 Price changes. Skrib may change subscription prices on at least thirty (30) days' notice to your account email. A price change does not affect the current paid period for which you have already been charged; it takes effect at your next renewal. If you do not agree to the new price, you may cancel before the renewal under Section 3.5.

3.9 Card information. Card and payment-method information is collected and processed by Stripe under Stripe's own terms and privacy notice (available at https://stripe.com/legal). Skrib does not receive or store full payment-card numbers; Skrib retains only transaction metadata as described in the Privacy Policy at https://skrib.com/legal/privacy.

3.10 California automatic-renewal disclosure. If you are a California resident, this Section 3 constitutes Skrib's clear-and-conspicuous disclosure under the California Automatic Renewal Law (Business and Professions Code §§ 17600–17606). Your subscription will continue and renew automatically at the price and cadence stated at checkout until you cancel. You can cancel at any time, without penalty, from Account → Subscription → Cancel.

3.11 EU/UK/EEA/Swiss consumer reservation. If you are a consumer resident in the European Economic Area, the United Kingdom, or Switzerland, you retain statutory rights that cannot be excluded or limited by contract, including (where applicable) a fourteen (14)-day right of withdrawal. The Refund Policy at https://skrib.com/legal/refunds describes how those rights apply.

4. Confidentiality

Skrib (the “Discloser”) may disclose proprietary or non-public information (“Confidential Information”) to you (the “Recipient”). Skrib’s Confidential Information includes non-public information regarding features, functionality, performance, and security of the Services. The Recipient will use the Discloser’s Confidential Information only to evaluate or use the Services, will not disclose it except to its representatives who need to know and who have legal obligations to keep it confidential, and may disclose it where required by legal process (with prompt notice to the Discloser where lawful).

5. Warranties and disclaimers

To the fullest extent permitted by Applicable Law, the Services are provided “AS IS” and “AS AVAILABLE,” and Skrib disclaims all representations, warranties, and conditions of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, and quiet enjoyment.

AI-generated outputs may be inaccurate, incomplete, biased, or unsuitable. You are solely responsible for reviewing outputs before relying on them.

For consumers in the European Economic Area or the United Kingdom, nothing in this Section excludes any statutory rights that cannot lawfully be excluded by contract.

6. Indemnification by you

To the fullest extent permitted by Applicable Law, you will defend, indemnify, and hold harmless Skrib and its affiliates and their respective directors, officers, employees, contractors, agents, licensors, service providers, and representatives from any third-party claim, demand, action, proceeding, investigation, liability, damage, judgment, settlement, loss, cost, or expense (including reasonable legal fees) arising out of or related to (a) your Customer Content; (b) your use of the Services; or (c) your breach of these Terms or Applicable Law.

For consumers in the European Economic Area or the United Kingdom, this indemnity is limited to claims arising directly from your material breach of these Terms or the Acceptable Use Policy or from your wilful or grossly negligent misuse of the Services.

7. Limitations of liability

7.1 Indirect liability.

UNDER NO CIRCUMSTANCES, AND UNDER NO LEGAL THEORY, WILL SKRIB OR ITS AFFILIATES OR REPRESENTATIVES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, DATA, USE, OR COVER) ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Aggregate liability.

THE TOTAL AGGREGATE LIABILITY OF SKRIB AND ITS AFFILIATES AND REPRESENTATIVES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF OR INABILITY TO USE THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNT YOU PAID TO SKRIB FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (b) US$100.

7.3 EU / UK consumer carve-out.

For consumers in the European Economic Area or the United Kingdom, nothing in this Section limits Skrib’s liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) breach of any term implied by mandatory law on title and quiet possession; or (d) any other liability that cannot lawfully be excluded under Applicable Law. The financial cap in this Section will not apply to claims falling within (a)–(d).

8. Term and termination

8.1 Term.

These Terms take effect when you first access or use the Services and continue until terminated as provided here.

8.2 Termination by Skrib.

Skrib may suspend or terminate your access to the Services at any time, with or without notice, if Skrib reasonably believes that you have breached these Terms or the Acceptable Use Policy, that your use creates legal or security risk, or that termination is required to comply with Applicable Law. For consumer accounts in the European Economic Area or the United Kingdom, Skrib will provide at least thirty (30) days’ advance notice before terminating other than for cause.

8.3 Termination by you.

You may terminate by deleting your account in account settings.

8.4 Data export and deletion.

On termination, Skrib will make Customer Content available for export in a structured, commonly-used, machine-readable format for at least thirty (30) days. After the export window closes, Skrib may delete Customer Content in accordance with the Privacy Policy and any Applicable Law.

8.5 Survival.

Sections 1.3, 2 (Service Terms), 4 (Confidentiality), 5 (Warranties and Disclaimers), 6 (Indemnification), 7 (Limitations of Liability), 8.4 (Data Export), 8.5 (Survival), and 9 (Miscellaneous) survive termination.

9. Miscellaneous

9.1 Changes to these Terms.

Skrib may modify these Terms from time to time. Skrib will provide reasonable advance notice of any material change through the Services, by email, or by posting the updated Terms on skrib.com. For changes that materially expand Skrib’s rights or materially reduce user rights, Skrib will provide at least thirty (30) days’ advance notice and require active acceptance before continued use.

9.2 Changes to the Services.

Skrib may add, change, or remove features at any time. If Skrib materially discontinues a Service that you are paying for, Skrib will refund any pre-paid fees for the unused portion.

9.3 Product-Specific Terms.

Certain Skrib offerings (including AI Features and beta features) are subject to Product-Specific Terms at https://skrib.com/legal/product-specific-terms. The Product-Specific Terms are incorporated into these Terms by reference and apply if you elect to use the relevant offerings. The order of precedence is: Product-Specific Terms, then these Terms, then Orders (newest to oldest).

9.4 Force majeure.

Skrib will not be liable for any delay or failure to perform that results from a cause or condition beyond Skrib’s reasonable control. If Skrib reasonably believes that it is legally prohibited from providing the Services to you, Skrib may suspend or cancel your access.

9.5 Notices.

Skrib may give notices through the Services, by email to your account email, or on skrib.com. Notices to Skrib must be sent to contact@skrib.com or by recorded post to Skrib, Inc., Attention: Legal, 131 Continental Dr, Suite 305, Newark, DE 19713, USA.

9.6 Severability and waiver.

If a provision is held invalid or unenforceable, the rest remains in effect. No failure or delay in exercising a right operates as a waiver.

9.7 Assignment.

You may not assign these Terms without Skrib’s prior written consent. Skrib may assign without restriction, including in connection with a merger, acquisition, financing, reorganisation, or sale of assets.

9.8 Service providers.

Skrib may engage third-party service providers (including the subprocessors listed at https://skrib.com/legal/subprocessors) to support its performance of these Terms. Skrib remains responsible for compliance with these Terms.

9.9 No partnership.

These Terms do not create any agency, partnership, joint venture, or employment between you and Skrib.

9.10 Governing law.

These Terms and any non-contractual matters arising out of or in connection with these Terms are governed by the laws of Georgia (country), without regard to conflict-of-laws principles. Subject to Applicable Law, the courts of Tbilisi, Georgia have exclusive jurisdiction over any dispute that is not resolved through arbitration. Nothing in this Section limits any non-waivable rights you may have under Applicable Law.

9.11 Dispute resolution and arbitration.

You and Skrib agree to resolve disputes arising out of or relating to these Terms in binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with the seat of arbitration in Wilmington, Delaware. The arbitrator has exclusive authority to resolve all threshold arbitrability issues. Class actions, class arbitration, and representative actions are not permitted. Small-claims actions in your home small-claims court are excluded from arbitration. Either party may bring suit in court to enjoin infringement of intellectual-property rights.

Before initiating arbitration, the party with the claim must send a Pre-Arbitration Letter to the other party at the address specified in Section 9.5. If the dispute is not resolved within sixty (60) days, formal arbitration may be initiated.

Opt-out of arbitration.

You may opt out of this arbitration agreement by sending written notice within thirty (30) days of first agreeing to these Terms to contact@skrib.com or to Skrib, Inc., Attention: Legal — Arbitration Opt-Out, 131 Continental Dr, Suite 305, Newark, DE 19713, USA. Your notice must include your name, mailing address, email address, and an unequivocal statement that you are opting out.

EEA / UK consumer reservation.

Consumers in the European Economic Area retain the right to bring proceedings against Skrib in the courts of their habitual residence and to benefit from the mandatory consumer-protection laws of that jurisdiction. UK consumers retain analogous rights under UK law.

9.12 Export control.

The Services and your use of them are subject to export control and economic sanctions laws and regulations, including U.S. Export Administration Regulations and OFAC programmes. You represent that you are not on any list of prohibited or restricted parties and that you will comply with all applicable Export Controls.

9.13 Anti-corruption.

Neither party has received or been offered any illegal or improper bribe, kickback, payment, gift, or thing of value from an employee or agent of the other party in connection with these Terms.

9.14 Patent assertion entities.

If you are a Patent Assertion Entity or are acting on behalf of one, you will not assert against Skrib or its affiliates any claim that the Services infringe, misappropriate, or otherwise violate any intellectual-property right (including patents). A “Patent Assertion Entity” is any entity that derives or seeks to derive a significant portion of its revenue from the offensive assertion of patent rights.

9.15 Government use.

If you are a government or public-sector entity, you represent that you are entering into these Terms in compliance with applicable public-procurement laws. If you are a U.S. government entity, the Services are “commercial computer software” and “commercial computer software documentation” and your rights are limited to those provided in these Terms. Sections inconsistent with applicable law are waived to the extent necessary.

9.16 Trademark guidelines.

Use of the Skrib name and logo is governed by the Trademark Guidelines at https://skrib.com/using-the-skrib-brand.

9.17 Interpretation.

Wherever the words “including,” “include,” or “such as” appear, they will be deemed to be followed by “without limitation.” Headings are for convenience only.

9.18 Entire agreement.

These Terms, together with the Privacy Policy, the Cookie Policy, the Acceptable Use Policy, the Product-Specific Terms (including the AI Terms and Beta Terms when applicable), and the DPA (where applicable), constitute the entire agreement between you and Skrib regarding the Services. In the event of conflict, the order of precedence is: Product-Specific Terms, then these Terms, then any Order (newest to oldest).
